PLEASE READ CAREFULLY THIS LICENSE AGREEMENT FOR END-USERS (HEREINAFTER REFERRED TO AS “LICENSE AGREEMENT” OR “AGREEMENT”) BEFORE USING THE SOFTWARE. PACKAGE OPENNING, INSTALLATION AND OTHER USE OF THIS PRODUCT INDICATE THAT YOU HAVE ACCEPTED ALL THE TERMS OF THE LICENSE AGREEMENT. The present License Agreement is a contract signed between you, as the End User (private individual or legal entity), and GISEYE with respect to the abovementioned software product of GISEYE(hereinafter referred to as “Program”, “Software” or “Software Product), which may include Software components, written to the relevant record medium or distributed via Internet web-channels together with accompanying printed materials and/or electronic documentation. By installing, copying or otherwise using the Software you agree to be bound by the terms of this Agreement. 1. Subject to the terms of this License Agreement, GISEYE grants you as the End User the following non-exclusive rights to the Software Product: – you may install, store the Program to the PC hard drive, access, display, run, or otherwise interact with one license copy of the Software Product on a single computer or workstation according to its designation; – you will receive free technical support within one year of getting a copy of the Software Product (by telephone and/or e-mail) to the extent and under the terms established by GISEYE. This right is not applied to the Software, supplied as freeware; however, GISEYE reserves the right to render technical services to End Users of the Software, supplied on freeware terms; – you may make one copy of the Software, provided that this copy will be used only as a backup (in case of loss, destruction or failure of the original Software) to replace the legally acquired original. The Software copy can not be used otherwise, including third parties, and shall be destroyed if further use of the Software is illegal. Upon receiving a preliminary written consent from GISEYE the User may concede all the rights, granted by this Agreement, to another User (recipient) provided that the Software is uninstalled and the Software copy is completely transferred to the recipient, including serial numbers, Software components and printed materials, as well as any updates or modifications of the Software version, and that the recipient accepts unconditionally all the terms of this Agreement. The latter is bound to review the text of this Agreement prior to rights reception. 2. The Software is licensed as a single product. Its components may not be separated for concurrent use on different computers. It is not allowed to remove or change any copyrights notifications on all the Software copies and accompanying documentation. The User may not rent, loan or hand in the Software Product for temporary use, except for Software, supplied as freeware. The User of freeware Software Product may not rent, loan, hand in for temporary use or distribute the Software otherwise for profit or commerce. The User is bound to keep all the copyrights notifications on all the used Software copies intact. The User may not reverse engineer, decompile, disassemble or incorporate the Software or its components to his own software products, except and only to the extent that such activity is expressly permitted by applicable law. Unauthorized copy and sale of the Software, including the Software that was modified, combined or incorporated into other software, is not allowed. The Software may not be used on the computers which do not have a legally installed copy of the Software. 3. IN ALL CASES, EXCEPT FOR SPECIAL SITUATIONS, SPECIFIED IN THIS OR SEPARATE AGREEMENT, THIS SOFTWARE IS PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESSED OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, HARMLESSNESS, QUALITY, FITNESS FOR A PARTICULAR PURPOSE AND OTHER WARRANTIES. THE SOFTWARE USER ASSUMES ALL RISK AS TO THE USE, QUALITY AND PERFORMANCE OF THE SOFTWARE PRODUCT. RDC SCANEX AND ITS OFFICIAL DISTRIBUTORS AND SUPPLIERS SHALL NOT BE LIABLE TO THE USERS AND ANY OTHER PARTY OR ORGANIZATION FOR ANY DAMAGES, INCLUDING ANY DIRECT, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF ANTICIPATED PROFITS OR BENEFITS. GISEYE SHALL NOT BE LIABLE ALSO FOR THE CLAIMS OF THIRD PARTIES AND FOR CLAIMS RELATED TO THE PROGRAMS, NOT INCLUDED IN THIS SOFTWARE PRODUCT. The User accepts all the risk as to the use, quality and performance of the Software Product. In no event shall GISEYE or its Software suppliers be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the Software Product or the provision of or failure to provide Support Services. 4. All title and copyrights in and to the Software Product in any number of copies are owned by RDC SCANEX. All copyrights in and to the Software Product and its components, including but not limited to the names, logos, original codes, algorithms, documentation, GUI elements, as well as the Software structure and configuration, are reserved by GISEYE and Software designers and protected by the applicable copyright law of the Russian Federation and other national and international legal acts. The agreement in subject is regulated by the laws of the Russian Federation 5. GISEYE shall reserve the option to terminate this License Agreement if the User fails to comply with the terms and conditions of this License Agreement. In such event, the User must destroy all copies of the Software Product and notify GISEYE in writing to the address indicated on the official GISEYE web-site. 6.
